1. Acceptance
These Terms of Use ("Terms") govern your access to and use of Node9's website, SaaS dashboard, and proxy software (collectively, the "Services"). By using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Services & Accounts
You must provide accurate information, keep credentials confidential, and be at least 16 years old. You are responsible for all activity under your account and API keys. We offer free, startup, business, and enterprise plans with usage limits described in the Service. Exceeding plan limits may result in feature restrictions until the next billing cycle.
3. Customer Data
"Customer Data" means data processed through the Services, including AI agent tool call parameters, policy configurations, audit logs, and workspace settings. As between the parties, you retain all rights to Customer Data. Node9 processes Customer Data solely to evaluate policies, generate audit records, and deliver approval notifications as configured by you.
Node9 does not read, store, or transmit AI conversational context or chat history. Only concrete tool call parameters (tool name and arguments) are evaluated at the point of interception. Where applicable law (e.g., GDPR) applies, you are the "controller" and Node9 acts as your "processor." A Data Processing Addendum (DPA) is available upon request.
4. Acceptable Use
You will not: (a) violate applicable laws; (b) infringe intellectual property or privacy rights; (c) attempt to bypass security controls, rate limits, or plan enforcement; (d) interfere with or overload the Services; (e) reverse engineer the Services or build a competing product using our technology; (f) use the Services to facilitate unauthorized access to third-party systems.
5. Plans, Billing & Taxes
Fees are billed in advance per the selected plan and are non-refundable except as required by law. Subscriptions renew automatically unless canceled before the next billing period. Prices and plan features may change with reasonable notice effective on renewal. Billing is handled by LemonSqueezy; their terms apply to payment processing.
6. Open Source Components
The Node9 proxy (node9-ai) is open source and available under its respective license at github.com/node9-ai/node9-proxy. These Terms apply to the hosted Services and SaaS dashboard, not to your use of the open source proxy software under its own license.
7. Intellectual Property; Feedback
We (and our licensors) retain all rights in the Services. You retain rights in your Customer Data and policy configurations. You grant us a limited license to process Customer Data solely to provide and improve the Services. If you provide feedback, you grant us a royalty-free, worldwide, irrevocable license to use it without restriction.
8. Confidentiality
Each party may access the other's confidential information in connection with the Services. The receiving party will use it only for the intended purpose, protect it with reasonable care, and not disclose it except to personnel and providers under equivalent obligations.
9. Privacy & Data Protection
Our Privacy Policy explains how we handle personal information. Where required by applicable law, we offer a DPA and can provide a list of sub-processors upon request.
10. Availability; Support; Beta
We strive for high availability but do not guarantee uninterrupted operation. Support scope varies by plan. Beta or preview features are provided "as is" and may be modified or discontinued at any time without liability.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NODE9 DOES NOT GUARANTEE THAT THE SERVICES WILL PREVENT ALL UNAUTHORIZED AGENT ACTIONS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY IS LIMITED TO FEES PAID OR PAYABLE BY YOU TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnity
You will indemnify and hold us harmless from third-party claims arising from your use of the Services in violation of these Terms, applicable law, or the rights of a third party.
14. Term & Termination
These Terms apply while you use the Services. You may cancel at any time via your workspace billing settings. We may suspend or terminate access for material breach, legal risk, or security concerns with reasonable notice where practicable.
15. Governing Law & Venue
These Terms are governed by the laws of the State of Israel. Exclusive jurisdiction and venue lie in the competent courts of Tel Aviv-Jaffa, Israel.
16. Export & Sanctions
You represent that you are not subject to export restrictions or sanctions and will not use the Services in violation of applicable export control or sanctions laws.
17. Changes
We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use after the effective date constitutes acceptance.
